These Terms and Conditions (“Terms”) govern your use of the vietargo.com website and any supply relationship with VIET ARGO CO., LTD. (“Viet Argo”). By accessing this website or submitting an order, you agree to these Terms.

1. Website Use

This website provides product and company information for business inquiry purposes. Content may not be copied, republished, or redistributed without our written permission. Trademarks, logos, and product images belong to Viet Argo or their respective owners.

2. Product Information and Quotations

Product descriptions, specifications, photographs, and application notes are provided for reference. Biomass products (coconut shell charcoal, wood pellets, and briquettes) are natural materials; natural variation in size, color, moisture, and ash content occurs within agreed specification tolerances. Prices shown in quotations are valid for the period stated on the quotation and are subject to change without notice for future orders.

3. Orders and Contracts

An order becomes binding only after both parties sign a Proforma Invoice (PI) or Sales Contract. Until then, all discussions, samples, and quotations are non-binding. Purchase orders issued by the buyer that conflict with the signed PI or Sales Contract shall have no effect unless expressly accepted by us in writing.

4. Payment

Unless otherwise agreed in writing, payment terms are as stated on the PI — commonly 30–50% deposit with the balance against shipping documents, or irrevocable letter of credit at sight. Title in the goods passes to the buyer upon full payment.

5. Delivery and Risk

Delivery terms follow the Incoterms stated on the PI (e.g., FOB Ho Chi Minh City / Cat Lai, CIF destination port). Risk transfers in accordance with the selected Incoterm. See our Shipping & Delivery Policy for details.

6. Warranties and Disclaimers

We warrant that shipped goods conform to the specification agreed in the PI. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL OTHER WARRANTIES, EXPRESS OR IMPLIED — INCLUDING FITNESS FOR A PARTICULAR PURPOSE — ARE DISCLAIMED. WEBSITE CONTENT IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND.

7. Limitation of Liability

Viet Argo’s total liability for any claim arising out of a supply contract is limited to the amount actually paid by the buyer for the affected goods. We are not liable for indirect, incidental, or consequential losses, including lost profits or production downtime.

8. Force Majeure

We are not liable for delays or failures caused by events beyond reasonable control: natural disasters, epidemics, war, government actions, port congestion, vessel or container shortages, strikes, or raw material supply interruptions. Affected deadlines are extended by the duration of the event.

9. Governing Law

These Terms are governed by the laws of Vietnam. Disputes shall first be negotiated in good faith; unresolved disputes shall be settled by the competent courts of Vietnam unless the signed contract provides for arbitration.
